Please read these Terms & Conditions (“Terms”) carefully prior to accessing or using our online-platform located at https://bepartner-global.com and https://bepartner-global.com (“Service”). These Terms contain important information about your legal rights and obligations.

Note, by using the Service, you represent and warrant that you have read, understand, have the legal capacity to and hereby agree to be legally bound by and to comply with these Terms in full. If you do not agree with these Terms, please, do not continue to use the Service.

The Service is operated and owned by BEPARTNER LLC (registration number 43021123, address: 03194, 14-D Koltsova blvd., apt. 529, Kyiv, Ukraine), who we may refer to as “bepartner”, “we”, “us” or “our”.

Our collection and use of personal data in connection with your access to and use of bepartner is described in our Privacy Notice.

Short version: These Terms and Privacy Notice is an important contract between us and our users. By using the Website you agree to comply with its terms and all applicable laws and regulations.

These Terms and any policies, including our Privacy Notice and any operating rules posted on the Service, constitute the entire legally binding agreement and understanding between you ("you" or “user”) and bepartner, governing your access to and use of the Service.

When you use the Service you hereby declare and warrant that:

1. according to your local jurisdiction, you are of legal age and eligible to enter into the Agreement (otherwise, you may use the Service only with the participation of parents or guardians);
2. according to your local jurisdiction, you have no restriction to use the Service;
3. you comply with these Terms and all applicable laws and regulations.

Short version: To create an Account you have to provide valid email and personal information. You are responsible for your account and the consequences of its use, as well as for its security.

In order to use the Service you have to register an Account providing your email and creating a password.

You can log in to your Account using third-party accounts such as Google, Facebook and LinkedIn. Please note that in this case you are subject to the Terms of Use and Privacy Policy of such third party services.

You are obliged to provide accurate, true and complete information during registration and keep the information of your Account up-to-date. You determine the privacy settings and ability of access of other users to your profile information. You can read more about the rules of personal data processing in our Privacy Notice.

bepartner may edit your profile information to correct errors or typographical errors, to fix inaccurate logging into your Account or completing your profile. Therefore, our administration will create a temporary password to log in to your Account. We recommend you to change your password after our notification. However, bepartner will not correct your personal data without your prior consent to this type of processing.

By creating a corporate Account for a legal entity you declare and warrant that you are authorized to act on its behalf, grant us all the permissions and licenses under these Terms and to disclose the information about this legal entity through your Account.

You can only have one Account and you cannot transfer it. You are responsible for maintaining the confidentiality of your login credentials and for all actions taken through your Account. You are responsible for complying with all applicable laws, regulations and rules when using bepartner and Account.

If you know or for any reason suspect that someone has gained access to your Account, or that your login information has been lost, stolen, misappropriated or otherwise hacked, please notify us immediately by email at info@bepartner-global.com.

To delete your Account, please send a request to our email info@bepartner-global.com.

Short version: The Service is designed for users to find partners for the cooperation of project founders, specialists and investors. It is prohibited to use the Service for advertising or selling users’ services or for any other purpose that does not correspond to the format of partnership.

bepartner Service is a tool for creating business partnerships between users. Under the term “partnership” we mean an association of two or more people / legal entities that mutually invest resources (tangible and intangible) and take risks in behalf of implementing a new project or developing an existing business on contractual terms.

The Service is designed to register and search for:

1. founders of startups / projects who are looking for a team to implement an idea;
2. specialists who want to apply their professional skills in new projects;
3. investors who are looking for promising projects to invest.

You may not use the Service to sell / advertise your own or other goods / services to bepartner users without prior being granted a status of an accredited partner. Please, fill in the contact form to apply for a status of an accredited partner. Otherwise, we may delete your Account.

On the basis of a specific agreement bepartner may provide additional consulting, marketing or advertising services and facilitate:

• expert examination of the project;
• creating a plan of a project;
• drawing up a business plan;
• organization of promotion and implementation of the project;
• providing legal and financial services;
• other.

Short version: In order to publish your project you have to log in and fill in the form. You have to provide complete and accurate information, comply with the requirements of theseUser Content terms. Otherwise we may delete your project. You can purchase a fee-based service to promote your project by applying for the “Premium” status.

The registered users can publish their projects - business ideas that were developed by the user for the purpose of implementation and gaining profit. In order to publish a project, please fill in the form in your Account with complete, reliable and relevant information about the project, keep it up to date.

Your project is subject to verification by the bepartner administration to be granted the “Premium” status. Please, send a request using the Service and follow the recommendations of our moderator. As a result, your project will receive a "Premium" badge, allowing it to stand out among other projects and get into the top positions in search results. This service shall be paid according to the invoice issued.

You understand that your business idea will become available to all users of the Service upon publication. Thus, make sure you do not violate any obligations on confidentiality of the project. bepartner is not responsible for your disclosure of any confidential information, its use by other users and will not participate in the resolution of disputes with third parties.

bepartner is not obligated to, but reserves the right to revise the compliance of published information with these Terms. bepartner may delete your project if its description does not comply with these Terms, at its discretion. Please, read carefully the requirements for the User Content.

Short version: There is always an option to use the service for free. More options are available for Projects initiators with the Standard or Premium plan. Basic plan is assigned to all users from the registration and profile creation.

The Basic plan includes:

• a possibility to create a profile and publish projects;
• view other users' profiles and contact them directly (up to 5 contacts with Investors and unlimited with other users per month)

The Standard plan includes:

• Unlimited contacts (including investors)
• Priority in the project listing in the directory over basic projects
• Enhanced display of the project page with photos and formatting
• Possibility to request project verification for promotion to the TOP

Premium (in addition to all features of the Standard plan):

• Assistance with customization of the project page design
• Promotion to the top of the project directory and the starting page of bepartner-global.com website.

Purchasing a subscription:

• In the section "Plan" you can familiarize yourself with the options and prices, and see the current plan.
• In the "Preview" screen displayed when you add, edit and publish a project.

Short version: bepartner owns the Service and all of our content. In order for you to use our Service and content, we give you certain rights to it, but you are not allowed to copy or distribute Content in violation of the rights of bepartner and users of the Service. You have to comply with our requirements for the User Content, otherwise we may remove your content or restrict your access to the Service.

The Service is owned and controlled by bepartner.

All materials of the Service, including text, graphics, information, images, drawings, trademarks, logos, photographs, video, sounds, music, software and other materials (collectively, the “Content”), as well as copyright and other intellectual property rights to such Content belong to bepartner or is posted with the consent of the owner.

You are not allowed to use the Content or any of its elements in any way not provided for in these Terms without the prior written permission of bepartner or owners of the Content.

Subject to your compliance with these Terms, bepartner grants you a limited, non-exclusive, revocable, non-sublicensable, non-transferable license to:

1. use the Service on your personal device(s) in the manner provided for in these Terms;
2. access and view any Content made available in or through the Service and granted by bepartner for the purposes laid down in these Terms;
3. repost the projects and articles posted through the Service using the available functionality.

In case you download or copy the Content, no right, title or interest in any downloaded or copied Content is transferred to you as a result of any such downloading or copying. You are not allowed to reproduce, publish, transmit, distribute, modify, create derivative works or otherwise use the Content for commercial or illegal purposes without our prior written permission, even if there is your personal information in such Content. You agree not to change or delete any ownership notices from materials downloaded or printed from the Service.

You are also advised that we are determined to enforce our intellectual property rights to the fullest extent of the law, including through civil remedies and criminal prosecution.

The Service allows users to:

1. upload, create, display, publish and distribute materials, including trademarks, logos, trade names, texts, images, designs, graphics, trade secrets, confidential information, comments or other materials ("User Content");
2. get access, view, repost the Content uploaded, published, distributed, displayed by other users, and any Content owned by bepartner.

For the purposes specified in these Terms you own the User Content and information that you post and distribute through the Service. You provide bepartner and our affiliates with a limited, revocable, perpetual, non-exclusive, sublicensable, transferable, free, worldwide license to access, use, copy, modify, translate into other languages (including automatically), distribute, publish, store, cache and process the information and User Content provided by you through the Service without obtaining additional consent, notification and / or compensation to you or others.

By creating or publishing any User Content you hereby declare and warrant that:

1. Creation, distribution, demonstration and access, downloading or copying of your User Content does not infringe property or non-property rights of the third parties, including but not limited to copyright, trademarks, trade secrets and other intellectual property rights.
2. You are the sole and exclusive owner of all User content that you publish on the Service, or have all the rights, licenses, consents and permissions required to grant bepartner the rights to this User Content, and allow us and other users to use your User Content in any way allowed by these Terms and functionality of the Service;
3. You are responsible for all personal information that may be contained in your User Content (e.g. register number, address, pictures of people, phone numbers, etc.).

You are prohibited from using the Service and bepartner services in any way not expressly permitted by these Terms, including but not limited to:

• offer network marketing, financial, intermediary and trading services to users;
• publish Content containing obscene language that is offensive to the Internet community, such as propaganda of racism, hatred or any physical harm against any group of people or individuals;
• send spam or collect personal information about users, including names, phone numbers, addresses, email, without the prior consent of the user;
• distribute Content or information that is false, misleading or promotes illegal activity or behavior that is offensive, threatening, obscene, defamatory;
• distribute Content or information that is false, misleading or promotes illegal activity or behavior that is offensive, threatening, obscene, defamatory;
• distribute pornographic Content or sexually explicit material;
• go beyond the pre-established topic of communication (offtopic), regularly publish information that does not carry a semantic charge (flood);
• spread viruses, Trojan horses, or any other similar forms of malware;
• promote advertisements, contests, sweepstakes and pyramids without our prior written consent;
• use automatic means or manually copy the Content, collect users’ personal data without our prior written consent;
• unreasonably load the Service with large amounts of information and data that interfere with the operation of the Service, the security system and access to it for other users, interfere with the Service operation.

You are responsible for any User Content that you post through the Service. bepartner reserves the right to monitor the compliance of your use with these Terms, revise and delete your Content and to alter or revoke this license or cease your access to the Content at any time and for any reason without prior notice.

bepartner reserves the right to monitor, but is not responsible for and does not provide any guarantees regarding any User Content posted through the Service. You have to act with prudence in relation to any Content and user before interacting through the Service or in the real world.

If you believe that any Content violates your rights, please let us know at info@bepartner-global.com.

Short version: The Service may contain links to the websites and services we do not control. You must follow other terms when you use such websites or services provided by other parties.

The Service may contain links to third-party websites, services and content that bepartner does not control.

We are not responsible for the content and services offered through those or any other websites, as well as for any losses, damages or other liabilities incurred as a result of your use of any third-party websites or services.

You acknowledge that other terms of use and privacy policies may apply to your use of such third party websites, services and content.

Short version: The Service is provided to you “as is”, and we make no promises or guarantees about it. Please, read this section carefully to understand what to expect.

The Service is provided to you “as is”. Other than as expressly set out in these Terms or any of our policies, bepartner disclaims all warranties regarding the Service, its features, content and services you may obtain through the Service, to the fullest extent permitted by law, including without restrictions, guarantees of merchantability, fitness for a particular purpose and non-infringement of intellectual property rights of third parties or other rights.

bepartner provides exclusively information services and will not be a party to any agreements between users, does not guarantee the success of published projects, the expertise of specialists, the reliability and decency of users, the accuracy and legality of the information provided by users, the effectiveness / efficiency of partnerships between users or any other guarantees, except expressly stated in these Terms.

We are not making any promises of any kind, including about the Service’s and content’s accuracy, usefulness, reliability and correct operation. bepartner does not guarantee that the Service will be uninterrupted or secure, that any defects will be corrected, or that the Service is free of viruses or anything else harmful.

Short version: We will not be liable for damages or losses arising from your use or inability to use the Service or otherwise arising under these Terms.

bepartner is not responsible if any information, materials, content available through the Service are inaccurate or incomplete, as well as for typographical errors or omissions in texts or other materials.

By publishing your User Content you understand and acknowledge that other users of the Service can get access to the information about your projects. bepartner shall not be held responsible if your idea / project is copied or implemented by someone else without your permission.

You are solely responsible for the legality of your actions within the Service and your use of the Content in accordance with the laws and regulations applicable to you.

In no event shall bepartner, its partners, employees, contractors or agents be liable for direct, indirect, incidental, special, punitive or consequential damages, related to any use or inability to use the Service, including, without limitation, any damages, caused as a result of use of the information provided through the Service or by mistakes, omissions, interruptions, defects, viruses, even if bepartner has been advised of the possibility of such damages.

bepartner is not responsible for any losses incurred as a result of transactions, legal relationships, other interactions between you and other users.

The foregoing limitations of liability do not apply to the extent prohibited by law.

Shot version: You are responsible for your use of the Service. If you harm someone else or get into a dispute with someone else, we will not be involved.

You agree to defend, indemnify and hold harmless bepartner, our partners, contractors and agents from and against any and all claims, responsibility, damages, losses, and expenses, including reasonable legal and accounting expenses, arising from: (i) any breach by you of any of these Terms, (ii) your use/misuse of the Service or (iii) a violation by you of applicable law or any agreement or terms with a third party to which you are subject.

You agree to defend, indemnify and hold harmless bepartner, our partners, contractors and agents from and against any and all claims, responsibility, damages, losses, and expenses, including reasonable legal and accounting expenses, arising from: (i) any breach by you of any of these Terms, (ii) your use/misuse of the Service or (iii) a violation by you of applicable law or any agreement or terms with a third party to which you are subject.

Shot version: This agreement is governed by the laws of Ukraine. We hope to resolve all the issues by peaceful means, but in case a serious dispute arises between us, it must be resolved in the national court of Ukraine.

Except as otherwise set forth in these Terms or any policies, these Terms shall be exclusively governed by and construed in accordance with the laws of Ukraine.

If any material in the Service, or your use of the Service is contrary to the laws of the place where you are when you access it, the Service is not intended for you, and we ask you not to use it. You are responsible for informing yourself of the laws of your jurisdiction and complying with them.

Any dispute, conflict, claim or controversy directly or indirectly arising out of or in connection with the Service or these Terms, including, those relating to its validity, its construction or its enforceability shall be resolved by means of amicable negotiations directly with bepartner team in accordance with the principles of good faith and cooperation. If the consensus may not be reached by the negotiations, the dispute shall be settled exclusively in the state courts of Ukraine, subject to its jurisdiction rules, with the applicable substantive law of Ukraine.

All claims shall be brought within one (1) year after the claim arises, except to the extent a longer period is required by applicable law.

Short version: We use email to stay in touch with our users.

By using the Service and providing us with your contact information, you understand and agree that we may send you the electronic communications regarding, without limitation, (i) your use of the Service; (ii) updating of the Service and these Terms; (iii) use of the additional services of bepartner.

Note, however, that some email messages may be more “commercial” in nature than others, as they may advertise our services or offers in which we believe you may be interested. You may unsubscribe from receiving these emails from us by following the instructions provided in such communications.

Short version: You can delete your Account at any time. We will take all necessary actions in relation to your data. If you violate these Terms we may suspend your Account.

Termination by you. You can terminate this agreement with bepartner at any time by deleting your Account in accordance with section "Account Registration" and ceasing to use the Service. If you delete your Account, all permissions and licenses granted by these Terms will immediately terminate for you. We may leave your User Content available through the Service or delete all data related to your Account and activities from our servers without any responsibility or liability to you. bepartner will not refund any payments in case you delete your Account.

Termination by bepartner. We reserve the right to take any legal action we deem necessary in response to actual or suspected violations of these Terms, including, but not limited to, suspending or terminating your access to your Account. bepartner may cooperate with law enforcement agencies and / or third parties in the investigation of any suspected crime or civil tort.

At any time in our sole discretion we reserve the right to change, suspend or terminate the Service, content, features or offers, with or without notice; and / or offer or cancel opportunities for some or all users of the Service. You agree that in such a case, we are not liable to you or any third party.

If any provision of these Terms is determined to be unlawful, void or unenforceable, the remaining provisions of these Terms will continue to be fully valid and enforceable.

We may transfer our rights and obligations under these Terms to a third party, but this will not affect your rights or our obligations under these Terms.

We reserve the right, at any time at our sole discretion, to modify these Terms. In case of material changes affecting your use of the Service, we’ll notify you prior to the changes’ effective date by posting a notice on the Service or sending you an email. If you continue to use the Service, you agree to the updated version of these Terms.

A printed version of these Terms shall be admissible in judicial or administrative proceedings based on or relating to use of the Service to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
